Terms and Conditions
These Terms and Conditions ("Terms") govern access to and use of the website www.serinity.co.in (the "Website") and the HRMS software and payroll outsourcing services provided by Serinity ("Serinity", "we", "us", "our"). By accessing the Website or using our services, you ("Customer", "you") agree to be bound by these Terms. If you do not agree, please do not use the Website or our services.
1. Acceptance of terms
By registering for a demo, requesting a quote, signing up for or using Serinity's HRMS software or payroll outsourcing services, you confirm that you have the authority to bind your organisation to these Terms.
2. Description of services
Serinity provides (a) a cloud-based human resource management system covering attendance, leave, payroll processing, statutory compliance, performance management, recruitment and related modules, and (b) optional payroll outsourcing services under which Serinity's team processes payroll and statutory filings on the Customer's behalf, as agreed in the applicable order form or plan.
3. Customer accounts and obligations
- You are responsible for the accuracy of employee, salary and attendance data provided to Serinity.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- You will use the Website and services only for lawful business purposes and in compliance with applicable Indian laws.
4. Subscription, billing and payment
Fees are charged on a per-employee, per-month basis as set out in your selected plan or order form, exclusive of applicable GST unless stated otherwise. Invoices are payable within the period specified on the invoice. Plans renew monthly unless cancelled with 30 days' written notice. Serinity reserves the right to revise pricing with reasonable advance notice.
5. Data ownership
All employee, payroll and business data you upload to or generate within Serinity remains your property. Serinity is granted a limited licence to process this data solely to provide the services, in accordance with our Privacy Policy. Upon termination, you may request export of your data within a reasonable period, after which it may be deleted in line with our data retention practices.
6. Payroll outsourcing responsibilities
Where you have subscribed to payroll outsourcing services, you remain the employer of record and are responsible for the accuracy of instructions and approvals provided to Serinity. Serinity will process payroll and statutory filings based on the data and approvals you provide, within agreed timelines, but is not liable for penalties arising from inaccurate or late data provided by the Customer.
7. Acceptable use
You will not misuse the Website or services, including by attempting unauthorised access, uploading unlawful content, or using the services to process data on behalf of individuals without a lawful basis to do so.
8. Service availability
We aim to keep the platform available and reliable but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where reasonably possible. Serinity is not liable for downtime caused by factors outside its reasonable control.
9. Limitation of liability
To the maximum extent permitted by law, Serinity's aggregate liability arising from or relating to these Terms or the services shall not exceed the fees paid by you in the three (3) months preceding the claim. Serinity is not liable for indirect, incidental or consequential damages.
10. Termination
Either party may terminate the services with 30 days' written notice. Serinity may suspend or terminate access immediately in cases of non-payment or breach of these Terms.
11. Intellectual property
The Serinity name, logo and website content are the property of Serinity, except for underlying open-source components used within the platform, which remain governed by their respective open-source licences. Nothing in these Terms transfers ownership of Serinity's intellectual property to the Customer.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be notified via the Website or by email. Continued use of the services after changes take effect constitutes acceptance of the revised Terms.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. Any disputes arising from these Terms or the services shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
